§01 Acceptance
By engaging Alactic ("we", "us", or "the agency") for any services (websites, software, AI work, hosting, or anything else we do), you ("the client") agree to these terms.
Anything bespoke to a project (exact deliverables, timeline, fees) lives in a separate written proposal or statement of work (SOW) we'll share before kick-off. Where the SOW and these terms conflict, the SOW wins.
§02 What we provide
We design, build, host, and maintain digital products. The exact scope of any engagement lives in writing. If it isn't written down, it isn't part of the deal.
We work in good-faith sprints. We'll tell you when something is going to slip, and we expect the same from you.
§03 Fees & payment
- Most projects begin with a 50% deposit. The balance is due on delivery.
- Recurring services (hosting, retainers, maintenance) are billed monthly in advance.
- Invoices are due within 14 days of issue. Late payments may pause active work.
- All fees are exclusive of taxes unless we say otherwise.
§04 Ownership & deliverables
Once final payment clears, you own the deliverables we produced specifically for you: designs, copy, source code, brand assets. We retain ownership of:
- Pre-existing tools, libraries, frameworks, and components we bring into the project.
- General knowledge, methods and techniques that aren't specific to your project.
- Anonymised portfolio rights to show the work, unless the SOW says otherwise.
Third-party assets (fonts, stock imagery, plugins, hosted services) carry their own licences. You're responsible for keeping those active after we hand off.
§05 Revisions & scope
Each project includes a defined number of revision rounds, typically two for design and one for development, unless the SOW says different. Beyond those, additional work is billed at our hourly rate.
If the brief shifts mid-project, we'll write up a change order before continuing. We don't quietly absorb scope creep, and we won't ambush you with a surprise invoice either.
§06 Confidentiality
We keep your project, business, and data confidential. We won't share specifics with anyone outside the agency without your permission, except where compelled by law.
§07 Warranties
We warrant that work we deliver will materially match what was agreed in the SOW for 30 days post-launch. Bugs introduced by us during that window get fixed at no additional charge.
Beyond that, services are provided as-is. We make no guarantees about uninterrupted operation, fitness for any purpose beyond what the SOW states, or that the work will achieve any particular business outcome.
§08 Limitation of liability
To the fullest extent permitted by law, our total liability for any claim arising from an engagement is capped at the fees you paid us in the three months preceding the claim. We're not liable for indirect, incidental, or consequential damages (lost revenue, lost data, lost time) beyond that cap.
§09 Cancellation
Either side can end an engagement in writing. The specifics of refunds and notice periods live in our cancellation policy.
§10 Changes to these terms
We update these terms occasionally. Material changes get flagged at the top of this page with a fresh last-updated date. Continued use of our services after a change means you accept the new version.
§11 Governing law
These terms are governed by the laws of India. Disputes go to the courts of competent jurisdiction. Where local consumer-protection law gives you stronger rights than these terms, those rights apply.
